Board Affairs and Corporate Governance Manager – Banking and Legal Operations – Dubai, UAE

Position Overview
Dicetek LLC in Dubai is seeking a qualified and detail-oriented Board Affairs and Corporate Governance Manager to support the Head of Legal, Corporate Governance, and Board Affairs. This role involves managing board meetings, coordinating governance activities, and ensuring legal and regulatory compliance within the framework of the bank’s corporate governance standards. The ideal candidate will have previous experience supporting UAE-based banks in a similar function.

Position Overview
As the Board Affairs and Corporate Governance Manager, you will play a central role in coordinating all internal communication and documentation between the bank’s senior leadership and its Board and Board Committees. You will assist in organizing and recording meetings, preparing agendas, ensuring compliance with corporate governance standards, and supporting the legal team in implementing governance frameworks. This role demands precision, discretion, and knowledge of UAE regulatory and banking environments.

What You’ll Do

* Organize and manage Board and Board Committee meetings, including agenda preparation, coordination with internal departments, and quorum verification
* Record accurate minutes, manage Board resolutions, and track voting results
* Maintain a register of Directors\' interests and monitor conflict of interest disclosures
* Ensure Board decisions are clearly communicated to management and track follow-up actions
* Establish and update the annual agenda for the Board and Committees, ensuring alignment with corporate bylaws and local regulations
* Support the Head of Legal & Corporate Governance in ensuring the Bank’s compliance with corporate governance frameworks
* Provide ad hoc support in reviewing contracts and governance-related documentation
* Liaise with key departments such as Legal, HR, Investor Relations, Finance, Compliance, and Internal Audit to ensure coordinated governance support
* Maintain up-to-date knowledge of relevant UAE laws, regulatory requirements, and corporate governance codes

Ideal Profile

* Bachelor’s degree from an accredited university; a Law degree is preferred
* Certifications in Company Secretarial practice (e.g. from Hawkamah or DFM) are advantageous
* Minimum 5 years of experience in a similar role, preferably within a UAE-based bank
* Experience in corporate governance administration, Board secretarial support, or paralegal work is desirable
* Strong organizational and communication skills, with the ability to manage confidential materials
* Working knowledge of UAE banking governance practices and regulatory standards
