Role Context
The Capital Structure and Financing Manager plays a strategic leadership role in strengthening the financial sustainability of the organization by managing funding strategies, debt structures, and financing solutions. The position supports major investment decisions, maintains strong banking and investor relationships, and ensures effective capital allocation to maximize returns and long-term business growth.
Key Responsibilities
* Lead the development of strong financial structures for new companies, investment projects, and strategic financing arrangements
* Evaluate ADNOC and Group investment proposals, perform feasibility studies, and review short-term and long-term financing requirements
* Assess financing opportunities in international and domestic financial markets, including concessionary financing programs and structured funding solutions
* Develop refinancing and debt restructuring options for ADNOC and Group Company liabilities
* Provide strategic advisory support to Group Company CFOs on capital structuring, financing decisions, and funding optimization
* Support the maintenance of ADNOC credit ratings and manage annual rating review content and engagement with rating agencies
* Guide ADNOC Group companies and SPVs during rating exercises and investor discussions
* Lead analysis and recommendations for innovative financing solutions to support project funding requirements
* Support implementation of investment strategies including joint ventures, mergers and acquisitions, and strategic restructuring initiatives
* Monitor group-wide capital structures and financing costs to improve asset and liability management
* Analyze balance sheets and financial structures across Group Companies and recommend financing plans to management
* Develop and maintain financial models for project evaluation, investment feasibility, and capital structure planning
* Review CAPEX pipelines and identify Export Credit Agency financing opportunities
* Monitor long-term funding requirements and prepare multi-year payment commitment schedules
* Maintain strong working relationships with banks, investors, financial institutions, auditors, and joint venture partners
* Support appointment and management of financial advisors, bid evaluations, and financing documentation
* Oversee raising of debt through bank financing, structured financing, and debt capital markets
* Ensure alignment of group financing requirements through continuous coordination with finance and investment leadership
Ideal Profile
* Bachelor’s Degree in Accounting, Business Administration, Finance, or equivalent
* Minimum 12 years of professional experience in financing, treasury, or accounting-related roles
* Strong expertise in capital structure planning, debt financing, and financial advisory
* Experience in debt capital markets, structured finance, and corporate treasury operations
* Knowledge of investment evaluation, refinancing, and financial feasibility analysis
* Strong understanding of listed company financing, banking relationships, and investor management
* Professional certifications such as CTP, CIMA, CFA, or equivalent preferred
* Strong analytical, financial modeling, and business advisory capabilities
* Excellent English communication skills; Arabic knowledge is an advantage
