Role Context
This project uses senior in-house legal experience to demonstrate how companies approach contract negotiation, drafting, risk allocation,
and approval decisions. The General Counsel will convert practical knowledge into structured playbooks, annotated agreements, and concise commentary suitable for document-driven AI development.
All contributed transaction materials must be non-confidential, eligible for project use, and handled in accordance with applicable professional and information-security obligations.
Key Responsibilities
* Develop contract-negotiation playbooks for varied commercial situations.
* Define preferred positions, acceptable alternatives, escalation points, and prohibited terms.
* Tailor playbooks to different company requirements, transaction values, and risk profiles.
* Draft commercial agreements using clear, precise, and internally consistent language.
* Review contracts for legal, financial, operational, regulatory, and reputational exposure.
* Annotate clauses to explain their purpose, associated risk, and possible negotiation approach.
* Assess provisions covering liability, indemnities, warranties, payment, termination, and intellectual property.
* Evaluate data protection, confidentiality, service levels, audit, and dispute-resolution language.
* Compare alternative drafting approaches and explain the practical consequences of each.
* Provide expert commentary on contract review, negotiation preparation, and approval governance.
* Identify recurring negotiation issues and develop reusable guidance for business teams.
* Examine existing agreement templates for gaps, ambiguity, duplication, and inefficient review steps.
* Recommend template changes that improve consistency, speed, and risk control.
* Develop clause libraries and fallback language where appropriate.
* Curate eligible and non-confidential transaction documents for project use.
* Confirm that submitted materials satisfy project guidelines and do not expose restricted information.
* Collaborate with project teams to clarify document requirements and legal context.
* Review AI-training materials for realism, accuracy, and appropriate corporate legal practice.
* Deliver concise written and verbal feedback that strengthens system understanding.
* Complete assignments independently while maintaining professional judgement and discretion.
